Axinn Represented McKesson in Transaction with Change Healthcare to Form New Health Care Information Technology Company

Axinn was antitrust counsel to McKesson Corporation, a leading global health care services and information technology company, in a transaction with Change Healthcare Holdings, Inc., a leading provider of software and analytics, network solutions and technology-enabled services, to create a new health care information technology company. The deal will combine substantially all of Change Healthcare’s business and the majority of McKesson Technology Solutions into a new company with $3.4 billion in pro forma combined total annual revenues for the fiscal year ended March 31, 2016.
The transaction was subject to closing conditions, including antitrust clearance and the completion of audited financial statements of the MTS businesses being contributed to the new company. The deal closed on March 2, 2017.
