Axinn Obtains FTC Clearance for Dell’s $67B Acquisition of EMC

Axinn served as lead antitrust and global coordinating counsel to Dell Inc. before the FTC in connection with Dell’s $67B acquisition of EMC Corporation. The transaction, announced in October 2015, will create the world’s largest privately-controlled, integrated technology company. The acquisition received approval from the FTC following the expiration of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 on February 22. The transaction remains subject to approval by EMC’s shareholders, regulatory clearance in certain other jurisdictions and other customary closing conditions.
